1. Acceptance of Terms

These Terms of Service (the "Terms") are a legal agreement between you and Vindex ("we," "us," or "our") covering your use of Vindex and any related websites, applications, and services (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. What Vindex Does

Vindex clones an existing website into an editable copy, then lets you edit that copy in plain language through an AI assistant. We host the resulting site for you, and we can add an AI chatbot that answers questions for your visitors.

The Service is designed for small businesses and individuals who want to manage their own site without a developer. Features may change over time as we improve the product.

3. Accounts and Eligibility

You must be at least 18 years old to use the Service. You agree to provide accurate and complete information when you create an account and to keep that information up to date.

Authentication is handled by Clerk. You are responsible for activity that occurs under your account and for keeping your login credentials secure. Notify us promptly if you believe your account has been accessed without your permission.

4. Your Content and the Cloning Representation

You represent and warrant that you own, or have written permission to copy and modify, any website or content you submit for cloning or editing through the Service. This is a core condition of using Vindex.

You grant us a limited, non-exclusive license to store, process, and host your content solely to provide and operate the Service. You retain ownership of your content, and you are solely responsible for it, including its legality and for having the rights needed to use it.

5. Acceptable Use

You agree not to use the Service for any illegal, infringing, deceptive, or malicious purpose. You will not upload malware, attempt to disrupt the Service, or use it to violate the rights of others.

Specifically, you must not clone or copy any website you do not own or do not have permission to use. Cloning a site you lack the rights to is a violation of these Terms and may be unlawful.

6. Copyright and DMCA

We respect the intellectual property of others and respond to valid takedown notices under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, you may send a written notice to our designated agent.

A valid notice should identify the copyrighted work, the material you believe is infringing and its location, your contact information, and a statement made in good faith. If your content is removed, you may submit a counter-notice with the corresponding information to request that it be restored.

7. AI-Generated Output

Edits, suggestions from the Improve feature, and chatbot answers are generated by AI and may be inaccurate, incomplete, or unexpected. You are responsible for reviewing any changes before you publish them and for reviewing what your chatbot tells your visitors.

AI-generated output is provided without any warranty of accuracy. You should not rely on it as legal, financial, or professional advice.

8. Plans, Billing, and Edits

We offer subscription plans (Personal, Standard, and Enterprise) billed through Stripe. Where applicable, a one-time clone fee applies per site. An "edit" is any request that produces a committed change to your site.

Top-ups are available if you need more edits in a given period. Plans auto-renew until you cancel. Prices may change with notice, and applicable taxes may be added.

9. Fair Use

The Enterprise plan includes "unlimited edits" subject to a reasonable fair-use policy. This policy exists to prevent abuse and to keep the Service reliable for everyone. We may contact you if your usage is well outside normal patterns.

10. Cancellation and Refunds

You can cancel your plan at any time. When you cancel, your access continues through the end of the paid period, and your plan will not renew after that.

Fees are generally non-refundable except where a refund is required by law.

11. Third-Party Services

The Service relies on third-party providers, including Stripe, Clerk, Vercel, Anthropic, GitHub, Supabase, and Resend. Your use of the Service may also be subject to the terms of these providers.

We are not responsible for the acts or omissions of third-party providers, though we choose them carefully.

12. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, if we are required to by law, or if your use creates risk or harm for us or other users. Where practical, we will give you notice.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that results will meet your expectations.

14. Limitation of Liability

To the maximum extent permitted by law, Vindex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service.

To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the total fees you paid to us in the twelve (12) months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Vindex from any claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your cloning of sites you lack the rights to use.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you, for example by email or through the Service. The effective date at the top of this page will be updated. Continued use of the Service after changes take effect means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws rules.
